The officers of the AEESP Foundation are a Chair, a Secretary, and a Treasurer. The Chiar is the principal executive officer of the AEESP Foundation and supervise and control all of the business and affairs of the AEESP Foundation. The Secretary keeps the minutes of the meetings of the Board of Directors, and is the custodian of the corporate records and the corporate seal. The Treasurer shall be the financial officer of the AEESP Foundation. The Treasurer has charge and custody of, and is responsible for, all funds of the AEESP Foundation, and the books and records relating to the same, and coordinates the deposit of all funds in the name of the AEESP Foundation in depositories selected by the Board of Directors, and makes or approves disbursements of AEESP Foundation funds as authorized by the Board.
The officers of the AEESP Foundation are elected annually by the Board of Directors at a meeting of the Board of Directors. Vacancies may be filled or new offices created and filled at any meeting of the Board of Directors. Each officer holds office for a minimum of one year and until his or her successor is elected.
